These Terms of Service ("Terms") govern your use of services provided by Sparq ("we," "us," "our"), operating from ground floor flat, 58 Clyde Road, Brighton BN1 4NP, United Kingdom. By engaging our services, you agree to be bound by these Terms.
Our services
Sparq provides AI powered automation services for electrical trade businesses, including but not limited to a custom built website, missed call text back automation, Google review automation, customer relationship management setup, and AI voice answering, qualifying, and booking services, depending on the tier of service selected.
Eligibility
Our services are intended for use by businesses operating within the United Kingdom. By engaging our services, you confirm you are authorised to act on behalf of the business entering into this agreement and are at least 18 years old.
Payment terms
Services are billed on a monthly retainer basis according to the tier selected at the time of signup. There is no setup fee. A minimum term of 3 months applies from the date of signup, during which the agreement cannot be cancelled. After the minimum term, the agreement continues on a rolling monthly basis and may be cancelled by either party with 30 days written notice. Payments are due monthly in advance and are non-refundable for the current billing period once processed, except where required by law.
Service delivery
We aim to deliver core setup, including your website and any agreed automations, within 7 days of signup. Timescales may vary depending on the complexity of your requirements and the responsiveness of information provided by you.
User responsibilities
You agree to provide accurate information necessary for us to deliver our services, to use our services lawfully, and not to use our services for any fraudulent, harmful, or illegal purpose. You remain responsible for the accuracy of any information provided to customers or callers through automations we build on your behalf, and for reviewing and approving content, scripts, and automation logic before go live.
AI usage and limitations
Our services include AI powered automation, including AI voice answering. While we take reasonable care to ensure accuracy and quality, AI generated responses and automated decisions may occasionally be incorrect, incomplete, or unsuitable for a particular situation. You acknowledge that AI tools are not infallible and agree to review critical business communications and booking outcomes periodically. We are not liable for lost business, missed appointments, or reputational harm arising from AI errors, provided we have acted with reasonable care in the setup and maintenance of the service.
Intellectual property
We retain full ownership of the underlying AI systems, automation workflows, templates, and custom code developed to deliver our services. You retain ownership of your own business data, customer data, and content submitted to us. On termination of this agreement, we will provide reasonable assistance to export your customer data, but underlying automation systems and code remain our property and are not transferable.
Suspension and termination
We reserve the right to suspend or terminate services immediately if you breach these Terms, fail to make payment, or use our services unlawfully. You may terminate this agreement in accordance with the payment terms above.
Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from these Terms or our services is limited to the total fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential losses, including loss of profits or business opportunities.
Changes to services and terms
We may update these Terms or make changes to our services from time to time. Continued use of our services after such changes constitutes acceptance of the updated Terms.
Governing law
These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
